This Snare Drum Demo Agreement (Agreement) shall be made and entered into between; Sonique, LLC (DBA Sonique Drums), and (Artist) (together as the Parties) for the purposes of testing prototype acoustical drums, demo drums, or other percussion related implements (Equipment). The Parties (Company and Artist) hereby agree that:

 1. Artist Compensation

• 1.1. Artist shall not receive compensation by Company for time spent during the Equipment demo.
• 1.2. Agreement does not imply endorsement.

2. Artist Use

• 2.1.  Company is responsible for shipping costs when sending Equipment to Artist and returning Equipment back to Company when the demo period is concluded.
• 2.2.  Artist is responsible for damage beyond reasonable wear and tear to Equipment and shall compensate Company sufficiently to replace or repair the damaged drum shell, drum hardware, or drum case.
• 2.3.  Artist may be asked to supply the Company with notes, suggestions, ideas, and other input that can help with the further development of Equipment.
• 2.4.  Artist shall not claim any right, title, or interest to any intellectual property that may develop from notes, suggestions, ideas, and other input that may aid Company in further development or refinement of Equipment.

3. Reasonable Wear and Tear

• 3.1. Company defines reasonable wear and tear as dings and scratches to a drum shell, drum hoop, drum lug, drum badge, or drum case.

4. Intellectual Property

• 4.1.  Company shall be the exclusive owner and retain all right, title and interest in any intellectual property (IP) that Artist is exposed to during the demo process of Equipment or from communication about Equipment from Company.
• 4.2.  Artist shall not share any information discussed or shared with Artist by Company where the information is marked as “Confidential” or “Secret”.

5. Equipment Return

• 5.2. Artist is responsible for returning equipment in a timely manner once the demo period has ended.
• 5.2 Demo snare drums not received or post marked by the demo end date will be charged a $50 late fee.
• 5.3 Artist that loses or otherwise does not return the demo snare to Sonique Drums after 30 days beyond the demo return date will be charged a replacement value of the demo snare of $1,200.00.

6. Duration of Snare Demo

• 6.1. Artist acknowledges the snare demo begins at the day of checkout from the online store.
• 6.2. Artist acknowledges the snare demo ends 21 days after the demo was checked out from the online store.
• 6.3. Artist acknowledges the demo snare must be postmarked or delivered to Company, using the pre-paid label included within 21 days after checking out the snare demo via the online store.
• 6.4. Artist acknowledges they will be charged a late fee if the demo snare is returned or post marked later than 21 days after the demo was checked out from the online store.
• 6.4. Artist acknowledges they will be charged the replacement value of the demo snare if returned later than 51 days after the demo was checked out from the online store.
